Corporate Law

Formation, organization and ongoing handling of corporate acts and relations among shareholders.

Corporate law governs the relationship among the company, its shareholders and officers. The choice of corporate type influences management, transfer of equity interests, disclosure of corporate acts and liability. Articles of association and bylaws must reflect the business and comply with applicable legal rules. Shareholders' agreements may detail rights and commitments, but they must be compatible with the company's governing documents and with the mechanisms necessary for them to produce their intended effects.

Legal advice covers incorporation, capital increases, resolutions, admission and withdrawal of shareholders and reorganization of powers. Proper recording of decisions matters both for day-to-day operations and for future due diligence and disputes. Rules on profit distribution, succession and transfer of equity interests must be examined together. In regulated companies, corporate acts may be subject to additional approval or notification requirements, which requires coordinating the corporate calendar with obligations owed to the regulator.

Our work

  • Articles of association, bylaws and shareholders' agreements
  • Resolutions, capital increases and corporate acts
  • Management rules and transfer of equity interests

Does a shareholders' agreement replace the articles of association?

No. These are instruments with their own functions and effects. Their provisions must be made compatible, taking into account the corporate type, applicable formalities and third-party rights.
