Executive Labor Matters
Analysis of employment relationships and disputes involving executives and institutions.
An executive's relationship with a company may involve an employment contract, a corporate mandate or other forms of engagement, each with distinct effects. The title of the position or the existence of a legal entity does not, by itself, determine the nature of the relationship. The analysis considers the actual circumstances of the service rendered and the relevant legal requirements. Variable compensation, benefits and participation in incentive programs must also be assessed according to their structure and implementation.
Legal work includes the review of contracts, compensation documents and termination conditions, as well as defense and follow-up of claims. Confidentiality, non-compete and information-return provisions must be compatible with the applicable regime. In corporate transactions, the continuity of relationships and the contractual allocation of responsibilities require specific attention. The strategy for a dispute depends on evidence regarding the functions, autonomy and subordination actually exercised, without assuming that hierarchical position eliminates labor rights or obligations.

Does the title of director automatically rule out an employment relationship?
No. It is necessary to analyze the form of appointment and the actual circumstances of the relationship, including subordination and duties. The name of the position does not settle the classification.
