Financial Market

Legal advisory on credit products, financial transactions and relationships between market participants.

A financial transaction must combine contractual validity, institutional classification and appropriate risk treatment. The analysis is not limited to the commercial name of the product: it considers the origin of the funds, the obligations of the parties, the form of remuneration and the guarantees involved. Credit, the provision of services and the distribution of securities may be part of the same structure, but remain subject to distinct rules and, in certain situations, to the oversight of different regulators.

The advisory work follows the design of products and the review of existing transactions, including credit documentation, guarantees, assignments and relationships with partners. The interaction between the regulatory, contractual and tax areas allows the identification of effects that do not appear when each document is assessed in isolation. Restrictions related to the type of institution, conflicts of interest and disclosure duties are also examined. Implementation depends on alignment between what the contracts establish and what systems and teams actually carry out.

Our work

  • Legal structuring of financial products
  • Review of credit agreements and guarantees
  • Analysis of transactions and partnerships between institutions

Does the contractual form alone determine the regulatory classification?

No. The analysis also considers the economic and operational reality, the activities of each participant and the competencies of the regulators involved.
