Banking Regulatory

Classification, authorization and monitoring of financial institutions' obligations before the Central Bank.

Banking regulation follows the life cycle of financial institutions: market entry, definition of permitted activities, organization of controls and structural changes. Law 4,595 establishes the powers of the National Monetary Council and the Central Bank, complemented by the specific rules applicable to each institution. The legal design must reflect the operations actually carried out, the origin of the funds and the distribution of responsibilities between officers and controlling shareholders.

The advisory work involves analysis of the business model, preparation of corporate and regulatory documentation and monitoring of supervisory requirements. New products, changes of control and reorganizations must be assessed under the applicable regime, including the need for authorization. Internal policies and contracts must work together with operational processes, making it possible to demonstrate how decisions, risks and obligations are monitored by the institution.
